Terms of Service

Introduction

These terms of service (the "Agreement") govern customer receipt, access, and use of the service provided by Middle Capital LLC, doing business as Applyace ("Applyace"). This Agreement is accepted by creating an account, purchasing access to the service, or signing up for the free trial access plan for the service.

The individual accepting this Agreement does so on behalf of a company or other legal entity ("Customer"). Such individual represents and warrants that they have the authority to bind such entity to this Agreement.

Communications

By creating an account on our service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send by email. However, you may opt out of receiving any, or all, of these email communications from us by following the unsubscribe link or by emailing us at contact@applyace.com. Creating an account does not enroll you in SMS messages.

SMS enrollment is optional and requires your separate opt-in. If you opt in, Applyace may send recurring automated marketing and account updates, including offers and job-search reminders, to the number you provide, up to 2 messages per day and 5 per week. Message and data rates may apply. Consent is not a condition of purchase. Reply STOP to opt out or HELP for help, or contact us at contact@applyace.com.

Subscriptions

Parts of the service are under a subscription model. You will be billed in advance on a recurring and periodic basis. At the end of each billing cycle, your subscription will automatically renew under the same conditions unless you cancel it or Applyace cancels it. You may cancel your subscription using the web application or through customer support.

Automatic Payment Recovery

Automatic payment recovery is included in eligible new checkouts. By completing checkout, you authorize Applyace and Stripe to automatically attempt the lower first-month amounts described below if your initial card or Link payment is declined for insufficient funds. No separate recovery checkbox or additional payment click is required. This authorization applies to that checkout for one hour; existing subscriptions and earlier failed checkouts are not enrolled by this update.

We use the payment method supplied at checkout for these automatic attempts and stop at the first successful payment. Bank authentication may still require your participation. We do not use this recovery flow for fraud blocks, authentication failures, processing payments, or successful payments.

• Starter quarterly may recover to Starter monthly at $49 today, then $49 per month.
• Pro may recover at $89 for the first month, then $99 per month. If the $89 attempt also fails for insufficient funds, the final offer is $49 for the first month, then $99 per month.
• Max may recover at $143 for the first month, then $159 per month.

Only offers lower than the original amount due are attempted, following the applicable sequence above. Recovery does not combine with other discounts and never charges less than $49. Introductory recovery discounts are available once per customer. The recovered subscription keeps the selected tier's monthly application allowance and included bonus bundle, but purchases one month rather than three months.

The unpaid original attempt is canceled before its replacement is charged. If recovery succeeds, monthly renewals start one month after that payment at the rate disclosed above, until canceled. Your confirmation and Stripe invoice show the amount paid and renewal terms. Cancel in the customer app's Plan & Credits settings or contact contact@applyace.combefore the next renewal to stop future charges. If recovery fails, no paid access is activated. You can cancel future renewals at any time.

Prohibited Uses

You may not use the service for any of the following:

• Violating applicable national or international laws or regulations.
• Exploiting or harming a minor in any way.
• Transmitting, or procuring the sending of, any advertising or promotional material.
• Impersonating any entity or company.
• Any use that infringes upon the rights of others, or is in any way illegal, threatening, fraudulent, or harmful.
• Restricting or inhibiting anyone's ability to use or enjoy the service.
• Using any device, software, or routine that interferes with the proper working of the service.
• Introducing any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
• Attacking the service via a denial-of-service attack or a distributed denial-of-service attack.
• Taking any action that may damage or falsify Applyace's rating.
• Interfering with the proper working of the service.

Age Limitation

Applyace is intended only for access and use by individuals at least thirteen (13) years old. By accessing our services, you warrant and represent that you are at least 13 years of age.

Analytics

We may use third-party service providers to monitor and analyze the use of Applyace.

Refunds

All sales are final. We do not offer refunds for any purchases or subscriptions.

Termination

We may terminate or suspend any account on the platform, without notice or liability, at our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

All terms shall be governed and construed in accordance with the laws of the State of California without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may terminate your account at any time by discontinuing payment for, or use of, the services provided by Middle Capital LLC.

Amendment to Terms

We may amend these Terms at any time by posting the amended terms on this site. It is your responsibility to review these Terms periodically.

We also reserve the right to withdraw or amend our Service, and any service related to or operated by Middle Capital LLC, in our sole discretion without notice. We may restrict access to some parts of the service, or the entire Service, to users, including registered users.

By continuing to use the services provided by Applyace, you agree to be bound by the revised terms.

Acknowledgment

By using our service you acknowledge that you have read these terms of service and agree to be bound by them.
